Terms of Service

You must be at least 18 years old to use Circlez. By using the Service, you confirm that you meet this requirement and are legally permitted to enter into these Terms. One account per person. You agree to provide accurate information and not impersonate others.

Non-dating mode: Users may choose a "Help Others" / organizer role to create and manage circles. This role does not allow access to Explore or private Chats.

You are responsible for all activity under your account and for keeping your login credentials secure (including one-time passwords sent to your phone). You may delete your account at any time through the App. Deleting an account removes your profile and scheduled matches, though limited records may be retained for legal, safety, or fraud-prevention purposes. Notify us immediately of any unauthorized use.

Electronic Communications

By creating an account, you consent to receive communications from us electronically, including via email, SMS, in-app messages, and push notifications. We may use these channels to send service updates, security alerts, account confirmations, and notices related to your use of Circlez. You may opt out of promotional communications at any time through the App settings or by following the unsubscribe instructions in the message; transactional and security messages will continue while your account is active.

You are responsible for all content you submit (including photos, bios, messages, and circle details). You represent that you own or have permission to use such content.

License You Grant

You grant Circlez a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify (e.g., encode/resize), display, and distribute your content solely for operating and improving the Service. This license ends when the content is deleted from our systems.

Prohibited Conduct

You may not:

• Use Circlez if under 18
• Post illegal, sexual, harassing, hateful, or violent content
• Impersonate others or engage in fraud
• Spam, scrape, reverse-engineer, or exploit the App
• Use Circlez for commercial solicitation
• Misuse member data obtained through circle ownership

We may remove content or suspend or ban accounts that violate these rules.

We do not conduct criminal background checks and cannot guarantee user behavior. Use good judgment when interacting with others and meeting in person.

Moderation & Tools

You may block and report users or content. We may remove content, suspend accounts, or permanently ban users. Event circles automatically expire at their set end date. In emergencies, contact local authorities.

Some features may require payment. Circlez offers an optional auto-renewing premium subscription called Circlez+, which unlocks features such as unlimited likes, viewing who liked you, advanced filters, and a higher circles cap. The exact features and any introductory offers are shown in-app at the time of purchase.

Circlez+ Subscription Terms

When you subscribe to Circlez+:

• Length and price: The subscription period (e.g., 1 month) and price are displayed in the App before purchase. Prices may vary by country and currency.
• Billing: Payment is charged to your Apple ID account (on iOS) or Google Account (on Android) at confirmation of purchase.
• Auto-renewal: Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.
• Managing or canceling: You can manage or cancel your subscription at any time in your iOS Settings → Apple ID → Subscriptions, or in the Google Play Store → Subscriptions. Canceling stops future renewals; it does not refund the current paid period.
• Price changes: We may change subscription prices for future renewal periods. Where required by Apple, Google, or applicable law, we will notify you and obtain your consent before a price increase takes effect.
• Refunds: Refunds for purchases made through the App Store or Google Play are handled by Apple or Google under their respective policies. We do not process refunds directly and do not store your full payment card details.
• Subscription management provider: We use RevenueCat to manage subscription entitlements and receipts. See our Privacy Policy for details.

Israeli Consumers

If you are an Israeli resident, you may have a statutory right to cancel a distance transaction under the Consumer Protection Law, 5741-1981 (חוק הגנת הצרכן). To exercise this right, contact support@circlez-app.com. Refunds for purchases made through the App Store or Google Play are still processed by Apple or Google under their policies; we will assist where required by law.

Your privacy is important. Please review our Privacy Policy for details about how we collect, use, and protect your data.

6.1 Circle Visibility & Owner Access

When you join a circle, parts of your profile (such as your name, photos, age range, and bio) become visible to the circle owner for community management and moderation purposes (including reviewing join requests, preventing abuse, and enforcing rules).

Circle owners are strictly prohibited from using member information outside the Circlez platform, including for marketing, solicitation, scraping, or external communication. Violations may result in permanent removal.

We may log and review moderation-related profile access for safety and compliance.

Circlez, including its branding, design, and software, is owned by Circlez and its developer. These Terms do not grant you rights to our intellectual property except as necessary to use the Service. If you submit feedback, you grant us a free license to use it without restriction.

The Service is provided "as is" and "as available." We disclaim all warranties to the extent permitted by law. Our total liability is limited to the greater of (a) the amount you paid us in the last 12 months or (b) USD $50. Some jurisdictions do not allow certain limitations; those limits apply where required.

You agree to defend, indemnify, and hold harmless Circlez and its developer, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the App or Service; (ii) your breach of these Terms; (iii) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; (iv) any content you submit, post, or share through the Service; (v) your interactions with other users, including any meetings or communications conducted offline; or (vi) your violation of any applicable law or regulation. Circlez reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.

You may stop using Circlez at any time. We may suspend or terminate your access for violations, risk to users, or legal reasons.

Survival

The following provisions survive any termination or expiration of these Terms: Section 3 (Content & Behavior, including the content license you grant us), Section 7 (Intellectual Property), Section 8 (Disclaimers & Limitation of Liability), Section 9 (Indemnification), Section 11 (Governing Law), Section 12 (Third-Party Services & App Stores, including Section 12.1 Apple App Store Additional Terms), and Section 15 (General Provisions).

These Terms are governed by the laws of Israel. Courts in Tel Aviv–Jaffa have exclusive jurisdiction, except where consumer protection laws require otherwise.

Circlez may rely on third-party services (e.g., hosting, analytics, notifications). Their policies apply. Your use of the App is also subject to Apple's App Store Terms.

12.1 Apple App Store — Additional Terms

If you obtain Circlez through the Apple App Store, the following additional terms apply to your use of the iOS version of the App. In the event of any conflict, this Section 12.1 controls over the rest of these Terms with respect to the iOS App.

Acknowledgment. These Terms are between you and Circlez only, and not with Apple Inc. ("Apple"). Circlez, not Apple, is solely responsible for the iOS App and its content.

Scope of License. We grant you a limited, non-transferable, non-exclusive license to use the iOS App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the iOS App may also be accessed and used by other accounts associated with you via Family Sharing or volume purchasing. The iOS App may not be distributed or made available over a network where it could be used by multiple devices at the same time.

Maintenance and Support. Circlez is solely responsible for providing any maintenance and support services for the iOS App, as may be required by applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services in connection with the iOS App.

Warranty. Circlez is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed in these Terms. If the iOS App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the iOS App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the iOS App.

Product Claims. Circlez, not Apple, is responsible for addressing any claims by you or any third party relating to the iOS App or your possession or use of it, including but not limited to: (i) product liability claims; (ii) any claim that the iOS App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.

Intellectual Property Rights. In the event of any third-party claim that the iOS App or your possession and use of it infringes that third party's intellectual property rights, Circlez, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Circlez may modify, update, suspend, or discontinue any part of the Service — including features, functionality, or content — at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service. You agree that Circlez shall not be liable to you or any third party for any such modification, suspension, or discontinuation. Where reasonably practical, we will provide notice of material changes through the App or via email.

We may update these Terms. The updated version will be posted in the App with a revised "Last updated" date. Continued use means acceptance.

Severability. If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Circlez regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings between you and Circlez relating to the Service.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term will be deemed a further or continuing waiver of such term or any other term.

Assignment. You may not assign or transfer these Terms, or any of your rights or obligations under them, in whole or in part, without our prior written consent. Any attempted assignment in violation of this provision is void. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

No Partnership. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and Circlez.

Force Majeure. Neither party will be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action or restrictions, pandemics or public health emergencies, labor disputes, power or network outages, infrastructure or internet failures, or interruptions caused by third-party service providers. The affected party will use reasonable efforts to resume performance as soon as practicable.

Notices. Notices to you may be given by email to the address associated with your account, by SMS to your registered phone number, by in-app notification, or by posting a notice within the App. Notices to Circlez must be sent to support@circlez-app.com. A notice is deemed received: (i) on the day sent if delivered by email, SMS, or in-app message; or (ii) three (3) business days after dispatch if sent by physical mail. You agree that electronic communications under these Terms satisfy any legal requirement that such communications be in writing.
